1. Who we are and the scope of this statement

This Privacy Statement explains how Urban Seller SA ("Urban Seller", "we", "us" or "our") handles personal data. Urban Seller is a company incorporated in Switzerland with its registered office at Chemin de la Californie, 1222 Vesenaz, Geneva, Switzerland.

Urban Seller provides a software-as-a-service (SaaS) platform that helps e-commerce merchants manage inventory, orders, listings, customer messaging and reporting across multiple sales channels and marketplaces (the "Platform" or "Services"). This statement applies to our website at urbanseller.com, the Platform, and all associated online and offline services and communications (together, the "Site").

Because we serve customers across Europe and worldwide — with the majority in the United Kingdom and a number in the United States — we have designed this statement to meet the requirements of:

  • the Swiss Federal Act on Data Protection ("FADP"), as our home jurisdiction;
  • the EU General Data Protection Regulation (Regulation (EU) 2016/679) ("EU GDPR");
  • the UK General Data Protection Regulation and the Data Protection Act 2018 ("UK GDPR"); and
  • applicable US state privacy laws (such as the California Consumer Privacy Act, as amended by the CPRA) where relevant.

2. Our two roles: controller and processor

Data protection law distinguishes between a "controller" (who decides why and how personal data is processed) and a "processor" (who processes personal data on a controller's behalf and on its instructions). Urban Seller acts in both roles depending on the context:

  • As a controller – for personal data relating to our website visitors, prospects, account administrators and individual users of the Platform, and for our own marketing, billing, support and business operations. This statement governs that processing.
  • As a processor – for the personal data that our customers (the e-commerce merchants who subscribe to the Platform) upload to, or have us retrieve into, the Platform in order to run their business — including the personal data of their end customers obtained from marketplaces and order management systems. For that data, our customer is the controller and we process it only on their documented instructions under our Data Processing Addendum.

Section 4 explains the processor relationship in more detail.

3. The personal data we process

As a controller, we may collect and process the following categories of personal data:

  • Identity and contact data – name, title, company name, job role, business email address, postal address and telephone number that you provide when you register, request a demo or trial, contact us, or subscribe to communications.
  • Account and authentication data – username, hashed password, security settings, permissions and the marketplace/OMS connections you authorise.
  • Transaction and billing data – subscription plan, billing contact, invoices and payment records. Card payments are processed by our payment provider Stripe; we do not store full card numbers.
  • Usage and technical data – IP address, device and browser type, operating system, pages viewed, referring URLs, and date/time of access, collected automatically through server logs and cookies (see Section 6).
  • Support and communications data – the content of your messages, support tickets, survey responses and feedback.

Where you provide us with personal data about other individuals (for example colleagues you add as users), you confirm that you are authorised to do so and to permit us to process that data in line with this statement.

4. Marketplace, OMS and customer data (Amazon, eBay and others)

To deliver the Platform, and only where you instruct and authorise us to do so, Urban Seller connects to third-party marketplaces and order management systems ("OMS") — such as Amazon, eBay and other sales channels — and retrieves the data needed to manage your orders and customer communications. This typically includes the personal data of your end customers, such as:

  • buyer name and contact details (email, telephone);
  • shipping and billing addresses;
  • order, item, fulfilment and returns information;
  • buyer–seller messages and support correspondence.

In relation to this data, Urban Seller is a processor and you (our customer) are the controller. We process it solely to provide the Platform's order management, fulfilment, messaging and reporting features at your direction, under the terms of our Data Processing Addendum.

Amazon and marketplace data commitments. Where we handle information obtained through the Amazon Selling Partner API or equivalent marketplace interfaces, we comply with the applicable marketplace data protection requirements (including the Amazon Acceptable Use Policy and Data Protection Policy). In particular we:
  • use such data only to provide and improve the order-fulfilment and customer-service features you have enabled, and never to send unsolicited marketing or for advertising/retargeting;
  • encrypt personally identifiable information in transit and at rest;
  • restrict access to authorised personnel and systems on a least-privilege, need-to-know basis;
  • retain such data only as long as needed to fulfil orders and meet legal/tax obligations, and securely delete it when no longer required or on your request, in line with marketplace policies;
  • do not sell marketplace-derived personal data or transfer it except as needed to provide the Services or to comply with law.

5. Why we process personal data and our legal bases

When we act as a controller, we rely on one or more of the following legal bases under the GDPR / UK GDPR (and the equivalent grounds under the Swiss FADP):

You are not obliged to provide personal data, but if you choose not to, we may be unable to provide some or all of the Services. Where we rely on consent, you may withdraw it at any time without affecting prior processing.

6. Cookies and analytics

Our website uses cookies and similar technologies to operate the site, remember your preferences, measure usage and improve performance. Non-essential cookies (including analytics and any advertising cookies) are only set where permitted by your cookie settings or consent. Cookies fall broadly into the categories below:

7. Sharing and sub-processors

We do not sell personal data. We share it only with:

  • Service providers and sub-processors who help us run the Platform and our business (for example cloud hosting, payment processing, email delivery, analytics and customer support tooling), under contracts that require them to protect the data and process it only on our instructions;
  • Marketplaces and OMS you connect, to the extent needed to carry out the actions you request (e.g. confirming shipments or sending buyer messages);
  • Professional advisers, auditors and authorities where required by law, regulation, legal process or to protect our rights, users or the security of the Services;
  • A successor entity in connection with a merger, acquisition, financing or sale of assets, subject to equivalent privacy protections.

A current list of our key sub-processors, and a means to subscribe to change notifications, is available on request from privacy@urbanseller.com and is referenced in our Data Processing Addendum.

8. International data transfers

Urban Seller is based in Switzerland, and we and our sub-processors may process personal data in Switzerland, the European Economic Area, the United Kingdom, the United States and other countries. Where we transfer personal data across borders, we put in place an appropriate safeguard recognised under applicable law, such as:

  • an adequacy decision (for example, the recognition of Switzerland, the EEA and the UK as providing adequate protection, where applicable);
  • the European Commission's Standard Contractual Clauses, together with the UK International Data Transfer Addendum and the Swiss FDPIC's amendments, for transfers to other countries; and
  • additional technical and organisational measures where needed to ensure an equivalent level of protection.

9. How long we keep personal data

We keep personal data only for as long as necessary for the purposes set out in this statement, including to provide the Services, comply with legal, tax and accounting obligations, resolve disputes and enforce our agreements. As a guide:

  • account and contract data is retained for the life of your subscription and for the limited period afterwards required by law (financial and tax records are typically retained for up to 10 years under Swiss law);
  • marketplace/OMS customer data processed on your behalf is retained according to your instructions and the applicable marketplace policies, and is deleted or returned when no longer needed or on termination, as set out in the Data Processing Addendum;
  • website and analytics data is retained for shorter, proportionate periods.

10. How we protect personal data

We maintain appropriate technical and organisational measures designed to protect personal data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or access. These include encryption in transit and at rest, access controls and least-privilege permissions, network and application security, logging and monitoring, secure software development practices, vendor due diligence, and regular review of our security and privacy controls. No method of transmission or storage is completely secure, so we cannot guarantee absolute security; you also play a part by keeping your credentials confidential.

11. Your privacy rights

Subject to applicable law, you have the following rights in relation to your personal data:

  • Access – to obtain confirmation of, and a copy of, the personal data we hold about you;
  • Rectification – to have inaccurate or incomplete data corrected;
  • Erasure – to have your data deleted in certain circumstances;
  • Restriction – to ask us to limit processing in certain circumstances;
  • Portability – to receive certain data in a structured, commonly used, machine-readable format;
  • Objection – to object to processing based on legitimate interests, and to object to direct marketing at any time;
  • Automated decisions – not to be subject to a decision based solely on automated processing that produces legal or similarly significant effects; and
  • Withdraw consent – where processing is based on consent.

If you are in the United States, you may have additional rights under applicable state law, including the right to know, delete and correct personal information, to opt out of "sale" or "sharing" of personal information and targeted advertising, and not to be discriminated against for exercising your rights.

Where your personal data is processed by us on behalf of one of our customers (see Section 4), please direct your request to that customer; we will assist them as their processor.

To exercise your rights, email privacy@urbanseller.com. We will respond within the timeframes required by law. You also have the right to lodge a complaint with a supervisory authority — in Switzerland the Federal Data Protection and Information Commissioner (FDPIC), in the UK the Information Commissioner's Office (ICO), or your local EU data protection authority.

12. Personal data breaches

We maintain procedures to detect, investigate and respond to personal data breaches. Where required, we will notify the relevant supervisory authority and affected individuals or, where we act as processor, the relevant controller, without undue delay and in accordance with applicable law.

13. Children

The Site is intended for businesses and is not directed to children. We do not knowingly collect personal data from children. If you believe a child has provided us with personal data, please contact us so we can delete it.

14. Changes to this statement

We may update this statement from time to time. Material changes will be notified through the Site or by other appropriate means, and the new version number and effective date will be shown in the document control block above. The revision history below records material changes.
